These Terms of Service ("Terms") form a binding agreement between you and dfsforge ("dfsforge", "we", "us", or "our") and govern your access to and use of the website at dfsforge.com and any related software, mobile applications, APIs, and services (collectively, the "Service"). dfsforge is operated by Justin Seib as the sole member of an existing United States limited liability company.
Please read these Terms carefully. They include important provisions about subscriptions, automatic renewal, disclaimers, limitations of liability, and the governing law and venue for any dispute. By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy.
1. Acceptance
By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service. If you accept these Terms on behalf of another person or entity, you represent that you have the authority to bind that person or entity.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, if greater) to create an account or use the Service. The Service is not directed to children, and we do not knowingly provide it to anyone under 18. By using the Service you represent that you meet this age requirement and that you are not barred from receiving the Service under the laws of the United States or your country of residence.
3. Account responsibilities
- You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
- You agree to use a strong, unique password and to notify us promptly at support@dfsforge.com if you suspect any unauthorized access.
- You agree to provide accurate information when creating your account and to keep that information current.
- You may not transfer your account to anyone else, and you may not share your account credentials so that more than one person uses a single seat.
- You are responsible for any third-party platform credentials (Yahoo Fantasy, ESPN, Sleeper, MyFantasyLeague) you connect to the Service, and for ensuring that connecting them does not violate the terms of those platforms or any rules of your specific league.
4. Acceptable use
You agree that you will not, and will not attempt to:
- Scrape, crawl, harvest, or systematically extract data from the Service except through a published API endpoint and within the rate limits we set for your plan.
- Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Service, except to the extent that applicable law expressly permits.
- Probe, scan, or test the vulnerability of any part of the Service, or breach or circumvent any authentication, security, or rate-limiting measure.
- Use the Service to send spam, distribute malware, or impersonate any person or entity.
- Use the Service in a way that infringes on the intellectual property or privacy rights of any third party.
- Resell, sublicense, or otherwise commercially exploit the Service or its data outputs without our prior written consent.
- Share a single account among multiple people, or create multiple accounts to evade a ban, rate limit, free-tier cap, or other restriction.
We may suspend or terminate your account immediately if we reasonably believe you have violated this section.
5. Fantasy disclaimer
6. No gambling
dfsforge is a software tool for evaluating fantasy sports decisions. The Service is not a sportsbook, casino, daily-fantasy contest operator, lottery, pari-mutuel operator, or money-transmitter. We do not accept wagers, hold player funds, run contests for cash prizes, settle bets, or distribute winnings. We do not facilitate the placement of bets with any third party. Any references to "edge," "value," "EV," or similar concepts within the Service refer to expected fantasy-point output, not to gambling odds or guaranteed financial returns. It is your responsibility to comply with the laws of your jurisdiction with respect to fantasy sports, sports wagering, and any related activity.
7. Third-party platforms
The Service interoperates with third-party fantasy platforms including Sleeper, Yahoo Fantasy, ESPN, and MyFantasyLeague. We are not affiliated with, endorsed by, or sponsored by any of those platforms or any professional sports league. Your use of those platforms is governed by their own terms and policies, and we are not responsible for their availability, behavior, accuracy, or any change to their APIs or terms. If a third-party platform restricts or revokes our access, the corresponding features of the Service may be reduced or unavailable, and we will not be liable for any resulting impact to you.
8. Payment terms
Some features of the Service require a paid subscription. Subscription fees, billing cycles, and included features are described on our Pricing page and are subject to change as described in Section 17. When paid plans become available:
- Subscriptions are billed in advance on a recurring basis (monthly or annual, depending on the plan you select) through Stripe, Inc.
- Your subscription will automatically renew at the end of each billing period at the then-current price until you cancel.
- All fees are stated and charged in U.S. dollars and are exclusive of any taxes, levies, or duties. You are responsible for any sales, use, value-added, or similar taxes imposed on the fees by your taxing authority, except for taxes based on our net income.
- If a charge is declined or reversed, we may suspend your access to paid features until the balance is resolved.
9. Cancellation and refunds
You may cancel your subscription at any time from your in-app account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features through that date. Fees already paid are non-refundable except where required by applicable law. We do not provide prorated refunds for partial billing periods, downgrades, or unused time. We may, at our sole discretion, offer a refund or credit in exceptional circumstances; doing so does not create an obligation to do so again.
10. Intellectual property
10.1 Our intellectual property
The Service, including all software, code, designs, text, graphics, logos, trademarks, models, projections, derived scores (including the sleeper score and its component factors), documentation, and the selection and arrangement of all of the foregoing, is owned by dfsforge or its licensors and is protected by United States and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial fantasy-sports activity, subject to these Terms. No other rights are granted by implication, estoppel, or otherwise.
10.2 Your content and data
You retain ownership of any data you submit or that we sync on your behalf from a third-party platform ("Your Data"). You grant dfsforge a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and display Your Data solely to operate, maintain, and improve the Service for you. We may use aggregated and de-identified information derived from usage of the Service for product analytics and improvement; such information will not identify you or your league.
10.3 Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.
11. DMCA and copyright
If you believe that material accessible on or from the Service infringes your copyright, please send a notice of claimed infringement that complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512, to our designated agent at support@dfsforge.com with subject line "DMCA Notice." Your notice must include: (a) a physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to allow us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in the notification is accurate and that you are the owner or authorized to act on the owner's behalf. We will respond to properly submitted notices and may terminate the accounts of repeat infringers.
12. Disclaimer of warranties
The Service is provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, dfsforge expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising out of any course of dealing or usage of trade.
Without limiting the foregoing, dfsforge does not warrant that the Service will meet your requirements; that the Service will be uninterrupted, timely, secure, or error-free; that the information, projections, scores, or recommendations produced by the Service will be accurate, complete, or reliable; or that any errors in the Service will be corrected. You assume all risk arising from your use of the Service.
13. Limitation of liability
To the maximum extent permitted by applicable law, in no event will dfsforge, its owners, members, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service, even if dfsforge has been advised of the possibility of such damages.
In no event will dfsforge's aggregate liability arising out of or relating to these Terms or the Service exceed the greater of (a) the total amounts you have paid to dfsforge for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) one hundred United States dollars (US $100).
The limitations in this Section apply to all causes of action, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above limitations may not apply to you; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless dfsforge and its owners, members, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of, or access to, the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual-property, privacy, or publicity right; (d) your violation of the terms of any third-party fantasy platform whose credentials you connect to the Service; or (e) any claim that Your Data caused damage to a third party.
15. Termination
You may terminate these Terms at any time by deleting your account from in-app settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have violated these Terms, that your account poses a security or legal risk to us or to others, or that we are required to do so by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6, 10, 12, 13, 14, 16, and 18) will survive.
16. Governing law and venue
These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You and dfsforge agree that the state and federal courts located in Texas will have exclusive jurisdiction and venue over any such dispute, and you consent to personal jurisdiction in those courts. Nothing in this Section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Changes to these terms
We may modify these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, if the changes are material, will provide notice by email or by a prominent in-app notice before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, your sole remedy is to stop using the Service and, if applicable, cancel your subscription before the revised Terms take effect.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and dfsforge regarding the Service and supersede any prior agreements on the same subject.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
- Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, civil disturbance, labor disputes, third-party-platform outages, internet failures, or governmental action.
- Notices. We may give you notice by email to the address on file, by a notice posted in the Service, or by any other reasonable means. You must give us notice at support@dfsforge.com.
- Headings. Section headings are for convenience only and do not affect interpretation.
